1. Introduction

These Terms & Conditions govern membership applications, approvals,
membership fees, renewals, benefits, events, coupons, community
participation, and paid services offered by ⚠ TODO: legal entity name operating Y&A 10X Club under the brand Y&A 10X Club.

By applying for membership, creating an account, making payment,
registering for an event, or participating in any Y&A 10X Club activity,
you agree to these Terms & Conditions, our Terms of Use, Privacy Policy,
Cookies Policy, Refund Policy, and any event-specific terms.

2. About Y&A 10X Club

Y&A 10X Club is a premium, curated, and growing network of growth-stage
founders across Food, Healthcare, Agriculture, Climate, Energy,
Logistics, Manufacturing, Machinery, Personal Care, D2C, Automobile, EV,
Textile, Finance, Hospitality, Technology, and more scalable sectors.
The vision is simple: Grow 10X Together.

3. Eligibility and Membership Access

Membership is curated and subject to review and due diligence. Meeting
eligibility criteria does not guarantee admission.

• Founder, entrepreneur, business owner, or authorized business leader;
• Minimum annual revenue expectation of ₹3Cr or such criteria as updated by Y&A;
• Completed around 1,000+ days, approximately 3 years, in business;
• Scalable business model and serious growth intent;
• Readiness to learn, contribute, help fellow founders, and invest 10 to 25 hours per quarter online or in person;
• Acceptance of the no-noise, no-promotion, no-sales community principle.

Y&A may approve, reject, waitlist, request more information, or defer
any application at its discretion.

4. Application and Due Diligence

Applicants may be required to provide founder details, company details,
revenue category, business description, growth bottlenecks, reference
source, and revenue proof documents such as audited balance sheet first
page, GSTR-3B summary, bank statement summary, CA-certified revenue
certificate, or equivalent authorized document. Information must be
accurate and current.

Y&A may independently verify submitted information, request additional
documents, speak to references, review public business records, and
perform due diligence before approving membership.

5. Membership Plans and Fees

Membership plans, fees, duration, benefits, exclusions, taxes, renewal
terms, and payment methods will be displayed on the website or
communicated to approved applicants. Unless stated otherwise, the
primary membership is annual, valid for one approved founder, and
non-transferable.

6. Membership Benefits

Benefits may include access to member dashboard, member directory,
founder matching, selected meetups, online sessions, online
masterclasses, dinner meets, retreats, coupons/passes, notifications,
and curated community opportunities, depending on the active plan.

Benefits are subject to availability, scheduling, plan rules, event
capacity, and operational decisions. Y&A may change formats, dates,
venues, speakers, or benefits when necessary.

7. Exclusions and Special Formats

Unless specifically included in a plan, special formats such as Funding
Day, in-person masterclasses, paid workshops, guest passes, travel,
stay, sponsor-only/private events, premium retreats, or other special
access formats may be charged separately.

8. Events

Y&A may organize meetups, masterclasses, retreats, founder dinners,
funding days, roundtables, and special formats. Event registrations are
subject to seat availability, access rules, payment, eligibility,
event-specific terms, and community conduct requirements.

• Y&A may accept or decline an event registration where required for curation or safety;
• additional guests or attendees may be allowed only where the event rules permit;
• members must not sell or transfer event seats without written approval;
• event schedules, speakers, venues, formats, and pricing may change due to operational reasons;
• event photos/videos may be taken for documentation, archive, and promotion, subject to applicable privacy and consent practices.

9. Coupons, Passes, and Credits

Coupons, passes, or credits may be issued for membership, renewals, or
events. Unless otherwise stated, coupons are member-specific,
non-transferable, single-use, time-bound, and cannot be redeemed for
cash. Coupon use may be rejected where misuse, fraud, duplicate use, or
rule violation is suspected.

10. Renewals and Expiry

Membership must be renewed before expiry to continue active-member
benefits. Y&A may send reminders by email, WhatsApp, or platform
notification. If membership expires, access to paid-member features may
be restricted or disabled until renewal payment is completed.

11. Community Conduct

Y&A 10X Club is built as a no-noise, no-promotion, no-sales trusted
founder room. Members must act respectfully, maintain confidentiality,
avoid harassment, avoid spam, avoid misleading claims, and use the
network for genuine learning, support, and collaboration.

Y&A may warn, restrict, suspend, or terminate access for conduct that
harms the community, violates policies, misuses member data, creates
legal risk, or damages the trust of the network.

12. Confidentiality and Member Data

Members may receive access to non-public information about other
members, events, discussions, business challenges, and community
activities. Such information must not be copied, scraped, exported,
sold, published, misused, or shared outside the platform without
permission. Member directory access is provided for legitimate community
interaction only.

13. Payments

Payments may be processed through third-party payment gateways such as
Razorpay or other providers. Y&A does not intend to store full card
details. Payment confirmation, invoices, and receipts may be issued
electronically. Payment failure, delay, or reversal may prevent
activation or event registration.

14. Termination, Suspension, and Deactivation

Y&A may suspend or terminate membership or platform access if a user
breaches these terms, provides false information, misuses data, harasses
members, sells aggressively, violates law, fails to pay, allows
unauthorized account use, or damages the integrity of the community.
Termination does not automatically create a refund right.

15. Disclaimers

Y&A facilitates connections, conversations, events, learning, and
community access. We do not guarantee business growth, funding, revenue,
partnerships, investments, clients, referrals, market expansion, hiring
success, or any specific commercial outcome. Members remain responsible
for their own business decisions, due diligence, financial decisions,
and legal compliance.

16. Limitation of Liability

To the maximum extent permitted by law, Y&A and its team will not be
liable for indirect, incidental, special, consequential, punitive,
loss-of-profit, loss-of-business, reputational, data, or opportunity
losses arising from use of the platform, membership, events, or
community interactions. Any total liability shall be limited to the
amount paid by the concerned member for the relevant service giving rise
to the claim, unless applicable law requires otherwise.

17. Governing Law and Jurisdiction

These Terms & Conditions shall be governed by the laws of India. Subject
to applicable law, courts at Pune, Maharashtra, India shall have
exclusive jurisdiction over disputes.
